Welcome to Beyond Programs Ltd. By accessing or using our services, you agree to be bound by the following Terms and Conditions (“Terms”). Please read them carefully, as they outline your rights, responsibilities, and obligations when engaging with Beyond Programs Ltd and its subsidiaries, products, and services.

1. Overview of Services

Beyond Programs Ltd is a sustainable asset management firm that provides a range of services, including:

• Project Management and Consulting Services in sectors such as IT, Construction, Event Management, and Marketing.
• Specialized services in sustainable asset management and support for clients’ Environmental, Social, and Governance (ESG) compliance goals.
• Integration with our software solutions, including FolioProjects for real-time project portfolio management, sustainability tracking, and reporting.
• Subscription services for pre-paid project management hours with tiered pricing, as well as flat-fee and yearly subscription models.
• Access to a network of licensed project managers, contractors, and service providers.

By engaging with Beyond Programs Ltd, you understand that the services are tailored to each client’s specific needs, and as such, terms specific to project timelines, deliverables, and associated costs will be documented in individual Service Agreements.

2. Eligibility

Beyond Programs Ltd’s services are available to individuals and organizations that are at least 18 years old and have the legal authority to enter into these Terms. By using our services, you warrant that you meet these eligibility criteria.

3. Use of Services

• Project Engagements: You agree to collaborate with Beyond Programs Ltd to define and agree upon project scope, milestones, and deliverables. Once a Service Agreement is signed, any changes to project scope or additional services may require a new agreement or amendment.
• Sustainability and ESG Compliance: Our services may include guidance on ESG compliance, but you acknowledge that compliance requirements may vary by jurisdiction and industry. Beyond Programs Ltd is not liable for any third-party compliance assessments or regulatory obligations unless explicitly stated in your Service Agreement.
• Subscription Services: Subscriptions provide access to project management hours and advisory services on a prepaid basis. Subscription services are subject to separate terms and conditions, including duration, pricing, and access limits, which are outlined at the time of purchase.

4. Service Restrictions

• Prohibited Use: You agree not to use Beyond Programs Ltd’s services for illegal or unauthorized purposes. Misuse of services, including attempts to circumvent security or proprietary elements, may result in termination of service.
• Third-Party Services: Beyond Programs Ltd may engage third-party affiliates and providers to deliver certain services. You acknowledge that Beyond Programs Ltd is not liable for the actions, omissions, or performance of third-party providers.

5. Intellectual Property

All content, software, and other intellectual property created or utilized by Beyond Programs Ltd, including but not limited to FolioProjects, HueFlux, and any proprietary methodologies, remain the exclusive property of Beyond Programs Ltd. You may not copy, reproduce, modify, or otherwise exploit any intellectual property owned by Beyond Programs Ltd without our prior written consent.

6. Confidentiality

Beyond Programs Ltd respects your privacy and confidentiality in all business transactions. Each party agrees to treat all information exchanged as confidential and to not disclose or use such information for any purposes other than those directly related to the engagement, except as required by law or as necessary to perform services.

7. Payment and Fees

• Project-Based Fees: Payment schedules for projects will be outlined in the Service Agreement. Fees must be paid as outlined, and delays in payment may result in project delays or suspension of services.
• Subscription and Flat Fee Services: Subscription fees are billed according to the subscription plan selected. Subscriptions will automatically renew unless canceled according to the plan’s terms. Fees for these services are non-refundable once access to services is granted.
• Additional Costs: Additional fees may apply for services beyond those initially agreed upon. Beyond Programs Ltd will notify you of any such fees before the delivery of extra services.

8. Cancellations and Termination

• Termination of Project Agreements: Beyond Programs Ltd reserves the right to terminate a project engagement if the client fails to fulfill obligations, including payment or compliance with project requirements.
• Subscription Cancellations: Subscription services can be canceled by providing notice before the renewal date. Cancellations after renewal will not be eligible for a refund.
• Client Cancellation: Should you choose to cancel services prior to project completion, you agree to compensate Beyond Programs Ltd for work completed up to the date of cancellation.

9. Limitations of Liability

• General Limitation: Beyond Programs Ltd’s liability in any case will not exceed the fees paid for the services in question. Beyond Programs Ltd is not liable for indirect, incidental, or consequential damages.
• Project Outcomes: Beyond Programs Ltd strives to achieve project goals; however, we make no guarantees regarding specific project outcomes. Beyond Programs Ltd is not liable for outcomes influenced by factors outside of our control, including third-party decisions, market changes, or regulatory changes.

10. Dispute Resolution

In the event of a dispute, you agree to first engage in good-faith negotiations to resolve the issue with Beyond Programs Ltd directly. Should negotiations fail, disputes may be resolved by binding arbitration, subject to the jurisdiction in British Columbia, Canada.

11. Modifications to Terms

Beyond Programs Ltd reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to the Beyond Programs Ltd website. Continued use of Beyond Programs Ltd’s services after any changes indicates your acceptance of the modified Terms.
